Terms of Service

These Terms of Service ("Terms") govern your access to and use of Dispatch, a multi-agent AI development platform provided by Nocetic Limited ("Company", "we", "us", "our"), including the desktop application, website at dispatch.codes, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
2. Accounts
You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate and complete information when creating an account.
You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.
3. Service Description
Dispatch is a local-first desktop application for macOS that enables multi-agent AI orchestration for software development. The Service includes:
- AI agent orchestration (Claude Code, Codex, Gemini, and other supported providers)
- Kanban-based project management with CRDT real-time sync
- Communication channel integrations (Telegram, Discord, Slack, WhatsApp, Voice)
- Built-in developer tools (terminal, Git integration, Docker management)
- The Flowly-Code multi-agent framework
- Web platform for account management and team collaboration
4. Subscriptions & Billing
Plans
The Service is available under Free, Pro ($19/month), and Team ($49/user/month) plans. Plan features and pricing are described on our pricing page and may change with 30 days' notice.
Billing
Paid subscriptions are billed in advance on a monthly basis. You authorize us to charge your payment method on file. All fees are non-refundable except as required by law or as described in our refund policy.
Credits
Credits are purchased in USD and consumed automatically when your plan's usage limits are exceeded. Credits are non-refundable, do not expire, and cannot be transferred between accounts. Credit balances are displayed in your account settings.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. Unused credits remain available after cancellation.
5. AI Usage & API Keys
Dispatch provides AI functionality through two models:
- Built-in Chat — AI requests are routed through our API and billed against your plan limits or credit balance. Usage is tracked in tokens.
- Local agents (Ralph, Flowly) — use a BYOK (Bring Your Own Key) model. You provide your own API keys and are responsible for all costs incurred with those providers.
For BYOK usage, you are responsible for complying with each AI provider's terms of service and securing your API keys. We are not responsible for charges, data processing, or service interruptions related to third-party AI providers.
6. Your Content
You retain all rights to your code, projects, and content. Dispatch operates locally on your machine, and your source code is not uploaded to our servers. We claim no ownership or license over your code or development work.
Content you share through the Service (task descriptions, team messages, Kanban board data) is processed only to provide the Service and is not used for any other purpose.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Reverse-engineer, decompile, or disassemble the desktop application
- Use the Service to develop a competing product
- Resell, sublicense, or redistribute the Service without authorization
- Transmit malicious code, viruses, or harmful software through the Service
- Use automated means to access the Service beyond normal API usage
8. Intellectual Property
The Service, including the desktop application, website, Flowly-Code framework, documentation, branding, and all related intellectual property, is owned by Nocetic Limited. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with your subscription plan.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI agent outputs are generated by third-party models and may contain errors — you are responsible for reviewing and validating all AI-generated code before use.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOCETIC LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Nocetic Limited and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately.
You may terminate your account at any time by contacting us or using the account settings. Sections that by their nature should survive termination will survive (including Intellectual Property, Disclaimer, Limitation of Liability, and Indemnification).
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Continued use after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
